1. Kronex Trade Capital MarketPlace

1.1 Content of Kronex Trade Capital MarketPlace In the Kronex Trade Capital MarketPlace, you can access various Materials made available by Kronex Trade Capital and selected partners.

1.2 Charges Tenemos charges taxes stated by the United States Inland Revenue Code, Title 26 of the United States Code. Gas fees are also charged upon withdrawals as is required for smooth, fast and efficient processing of withdrawals.

1.3. Intellectual Property  - All software, including without limitation data, know-how, formulae, processes, designs, photographs, brands, logos, drawings, ideas, specifications, written word, software programs and samples (collectively “Content“), including but not limited to the design, structure, selection, coordination, expression, “look and feel” and arrangement of such Content, contained on the Kronex Trade Capital MarketPlace is owned, controlled or licensed by or to Kronex Trade Capital or by its licensors, suppliers and Kronex Trade Capital MarketPlace Providers and is protected by copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws. Except as expressly provided in these Terms & Conditions, no part of the Kronex Trade Capital MarketPlace and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including “mirroring”) to any other computer, server or other medium for publication or distribution or for any commercial enterprise without Kronex Trade Capital’ express prior written consent. You may use information purposely made available by Kronex Trade Capital for downloading from the Kronex Trade Capital MarketPlace provided that you (1) do not remove any proprietary notice language in all copies of such documents, (2) use such information only in accordance with the relevant EULA and do not copy or post such information on any networked computer or broadcast it in any media, (3) make no modifications to any such information, and (4) not make any additional representations or warranties relating to such documents.

2 Privacy

Kronex Trade Capital respects your privacy. Any information we receive is subject to the Kronex Trade Capital Privacy Policy.

3 Submission to Kronex Trade Capital MarketPlace

Kronex Trade Capital MarketPlace may offer interactive features that allow you to submit materials (including links to third-party content) on areas of the Kronex Trade Capital MarketPlace accessible and viewable by other users of the Kronex Trade Capital MarketPlace. You agree that any use by you of such features, including any materials submitted by you, shall be your sole responsibility, shall not infringe or violate the rights of any other party or violate any laws, contribute to or encourage infringing or otherwise unlawful conduct, or otherwise be obscene. You also agree that you have obtained all necessary rights and licenses. You agree to provide accurate and complete information in connection with your submission of any materials on the Kronex Trade Capital MarketPlace. You hereby grant Kronex Trade Capital a worldwide, perpetual, royalty-free, nonexclusive license to use such materials as part of the Kronex Trade Capital MarketPlace, and in relation to its products, without any compensation or obligation to you. Kronex Trade Capital reserves the right to not post or publish any materials, and to remove or edit any material, at any time in its sole discretion without notice or liability. Kronex Trade Capital has the right, but not the obligation, to monitor any materials submitted by you or otherwise available on the Kronex Trade Capital MarketPlace, to investigate any reported or apparent violation of this Agreement, and to take any action that Kronex Trade Capital in its sole discretion deems appropriate, including, without limitation, termination hereunder.

4 Disclaimer & liability

4.1. Kronex Trade Capital will endeavor to provide the Kronex Trade Capital MarketPlace with reasonable care and skill. Kronex Trade Capital does not make any other promises or warranties about the Kronex Trade Capital MarketPlace and in particular does not warrant that:

• Your use of the Kronex Trade Capital MarketPlace will be uninterrupted or error-free;
• Kronex Trade Capital MarketPlace and the Materials will be free from loss, corruption, attack, viruses, interference, hacking, or other security intrusion which shall be events of Force Majeure, and Kronex Trade Capital disclaims any liability relating thereto;
• any particular features, functionalities or fitness for purpose of the Materials or that the Materials will perform in conjunction with any other software or hardware.

 4.2. Except as set out in this Agreement, both parties and any suppliers to Kronex Trade Capital expressly disclaim all warranties and conditions of any kind, whether express or implied including but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose and non-infringement. Kronex Trade Capital, its group companies and any suppliers are not liable to you for any direct, indirect, accidental, special or consequential damages that may be incurred by you including any loss of data, profit or opportunity whether or not Kronex Trade Capital has been advised or should have been aware of the possibility of such losses arising. Nothing in this Agreement removes or limits Kronex Trade Capital’ liability for fraud or for death or personal injury.

 4.3. If you breach this Agreement, you will be liable to Kronex Trade Capital, its directors, officers, employees, affiliates, agents, contractors, and licensors for any claim arising out of your breach. You will also be liable for any action taken by Kronex Trade Capital as part of its investigation of a suspected violation of this Agreement, or as a result of its findings or decision that a violation of this Agreement has occurred.  Our suppliers shall be third party beneficiaries of this Agreement.
